I confirm that I have read and agree to the Vendor Terms & Conditions, Vendor Onboarding Agreement, and Privacy Policy.

This Vendor Terms & Conditions Agreement (“Agreement”) is a legally binding contract between Depot Group Inc., a corporation registered in Ontario, Canada (“Depot Group”, “we”, “us”, or “our”) and the individual or business applying to become a service vendor (“Vendor”, “you”, or “your”). By registering and creating a vendor account on the Depot Group platform, you agree to the terms outlined below.

1. Purpose of Agreement

Depot Group provides a platform that connects homeowners and property owners seeking home improvement and renovation services (“Clients”) with qualified service providers (“Vendors”). Vendors listed on the platform may receive job opportunities, submit quotes, and be hired to perform services for Clients.

2. Independent Contractor Relationship

Vendors are independent contractors and not employees, partners, representatives, or agents of Depot Group. Nothing in this Agreement creates a joint venture or employment relationship. Vendors are fully responsible for their own staff, training, insurance, safety, and tax obligations.

3. Vendor Eligibility Requirements

To be approved and remain active on the Depot Group platform, Vendors must:

  • Maintain valid business registration

  • Hold all required trade licences, certifications, or permits applicable to the services being offered

  • Carry sufficient commercial liability insurance

  • Ensure all employees and subcontractors meet legal requirements

  • Complete background and compliance checks if requested

Depot Group reserves the right to request proof of any eligibility requirement at any time.

4. Vendor Approval & Removal

Vendor profiles must be reviewed and approved by Depot Group before appearing on the platform. Depot Group reserves the unrestricted right to:

  • Approve or reject any vendor application

  • Suspend or permanently remove any vendor account at any time, with or without cause

  • Remove or edit vendor profiles, listings, quotes, or reviews

5. Job Allocation & Quotes

Depot Group will serve as the primary contractor selling jobs to Clients. Vendors may submit quotes for job opportunities but are not guaranteed job allocation.

6. Service Standards & Workmanship

When awarded a job, Vendors agree to:

  • Provide high-quality workmanship

  • Use materials that meet industry standards

  • Complete work within agreed timelines

  • Communicate professionally with Clients and Depot Group

  • Resolve any deficiencies or warranty issues promptly

The Vendor is solely responsible for the results and completion of the job and for ensuring client satisfaction.

7. Payments

Depot Group will collect payments from Clients and will pay the Vendor according to the agreed payout terms for each job. Payments may be withheld if work is incomplete, disputed, or violates this Agreement.

8. Fees & Pricing

Vendor registration is currently free. Depot Group reserves the right to introduce subscription fees, commissions, or service charges in the future with written notice.

9. Reviews & Feedback

Depot Group may display client feedback publicly. Fake, incentivized, or manipulated reviews are strictly prohibited.

10. Prohibited Conduct

Vendors must not:

  • Contact Clients outside the platform to bypass Depot Group

  • Solicit Clients away from Depot Group

  • Misrepresent qualifications or pricing

  • Engage in abusive, fraudulent, or unprofessional behavior

Violations may result in termination and forfeiture of payouts.

11. Liability & Indemnity

Depot Group is not responsible for work performed by Vendors. Vendors agree to indemnify Depot Group from claims, losses, or damages arising from services performed for Clients.

12. Dispute Resolution — UPDATED

All disputes between Clients and Vendors will be overseen and managed by Depot Group. Depot Group will review communications, agreements, evidence, and job progress and will make a final binding decision regarding:

  • Responsibility for issues

  • Corrective measures

  • Payment distribution

Vendors agree in advance that Depot Group's decisions in disputes are final and enforceable.

13. Termination

Depot Group may terminate Vendor access at any time. Outstanding payout obligations will be settled subject to job completion and dispute resolution.

14. Changes to This Agreement

Depot Group may update these Terms at any time. Continued use of the platform constitutes acceptance of revisions.

15. Governing Law

This Agreement is governed by the laws of Ontario, Canada, and the federal laws of Canada where applicable.

16. Acceptance

By creating a vendor account and/or offering services through the Depot Group platform, you acknowledge that you have read, understand, and agree to this Agreement.
